British viewers and investors face a formal regulatory review of the proposed merger between Sky and ITV. Culture Secretary Lisa Nandy announced the intervention in London on Wednesday, directing the Competition and Markets Authority and Ofcom to examine the transaction.

The move comes via a Public Interest Intervention Notice. This administrative step requires the two regulatory bodies to investigate how the deal affects the UK media market and free speech. They must submit their findings to Nandy by January 27. If the reports raise concerns, she holds the authority to refer the deal to the CMA for a deeper probe.

The transaction values ITV’s media and entertainment division at 1.6 billion pounds, or approximately 2.3 billion US dollars. Sky, owned by American company Comcast, would acquire ITV’s terrestrial television channels and streaming service. The deal was originally agreed upon in July. It excludes ITV Studios, the production arm behind franchises like “I’m A Celebrity,” which will remain an independent entity.

Nandy stated that the proposed tie-up is the primary motivation for accelerating new streaming legislation. The government aims to regulate the digital media environment to protect consumer interests and market diversity. The regulatory reports will specifically address the implications of the merger for free speech and the overall structure of the UK media sector.

Sky defended the transaction as being in the public interest. The company noted that it has made clear commitments to protect ITV’s brand identity and its public service broadcasting obligations. Sky emphasized that the distinct editorial voices of Sky News and ITV News will be preserved under the new structure.

ITV expressed its willingness to support the regulatory process. The broadcaster said it looks forward to co-operating fully with the investigation launched by the CMA and Ofcom. Both parties are preparing for a comprehensive review of the deal’s structural and market implications.

If approved, the combined Sky-ITV entity will eventually become part of NBCUniversal. This shift will occur following the completion of NBCUniversal’s split from its parent company, Comcast. The integration would place the new media company under a different corporate umbrella within the broader Comcast structure.
